# Statement of Work ## Operational Process Review & Scalability Roadmap **Agreement between:** ClearPath Solutions Inc. ("Client") and Meridian Labs LLC ("Consultant") **Effective Date:** September 8, 2025 **Reference:** ML-2025-CP-001 --- ## 1. Purpose This Statement of Work ("SOW") defines the scope, deliverables, timeline, and commercial terms for the engagement between Meridian Labs LLC and ClearPath Solutions Inc. for the purpose of conducting a comprehensive operational process review and delivering a scalability roadmap. ## 2. Background ClearPath Solutions Inc. is a compliance documentation and regulatory management firm with 78 employees and approximately €12M in annual revenue. The Client is experiencing operational challenges as a result of rapid growth and seeks to restructure its internal processes to support a headcount target of 150–200 employees within the next 18 months. ## 3. Scope of Work ### 3.1 Process Areas in Scope The engagement covers five primary operational areas: **Area 1 — Consultant Onboarding:** End-to-end review of the process from offer acceptance to independent client engagement. Includes training sequences, knowledge transfer, mentorship structures, and performance benchmarks. This area encompasses both formal training programs and informal mentorship practices, with emphasis on identifying standardization opportunities and skill-transfer mechanisms across cohorts. **Area 2 — Client Intake & Scoping:** Review of how client engagements are initiated, scoped, resourced, and kicked off. Cross-team comparison of methodologies currently in use, with particular attention to variability in scoping rigor, resource estimation accuracy, and stakeholder alignment at kickoff. **Area 3 — Audit & Quality Workflow:** Analysis of the internal quality assurance process, including review queues, sign-off chains, and turnaround times. Identification of bottleneck sources, approval authority clarity, and quality standards consistency across different engagement types and team structures. **Area 4 — Client Reporting:** Assessment of current reporting practices, template usage, data aggregation methods, and time expenditure. Recommendations for standardization and efficiency improvements, including assessment of client communication cadences and formats. **Area 5 — Knowledge Management & Sharing:** Evaluation of how institutional knowledge is created, stored, transferred, and retained across teams. Identification of single-point-of-failure dependencies, documentation adequacy, and knowledge accessibility barriers that may impede scaling. ### 3.2 Methodology This engagement will employ a mixed-methods approach combining qualitative and quantitative data sources to develop a comprehensive understanding of current operational state and identify evidence-based improvement opportunities. **Structured Observation:** The Consultant will conduct direct observation of key workflows across all five operational areas, documenting actual processes, decision-making points, communication patterns, and resource allocation. Observation sessions will be scheduled to capture representative workload conditions and will include both routine activities and exception handling. Observations will be documented using standardized protocols to ensure consistency and will form the basis for process mapping and bottleneck identification. **Semi-Structured Interviews:** The Consultant will conduct 15–20 semi-structured interviews with key stakeholders selected to represent different functional roles, experience levels, and team perspectives. Interviews will explore current process understanding, pain points, improvement suggestions, and interdependencies. Interviews will be documented with participant consent and will be conducted in confidence to encourage candid feedback. **Operational Data Analysis:** The Consultant will analyze quantitative operational data provided by the Client, including performance metrics, cycle times, resource utilization, error rates, and historical project data. Data analysis will focus on identifying patterns, performance variance, and capacity constraints that may inform recommendations. **Process Mapping:** Current-state process maps will be developed for each operational area using industry-standard notation and will document decision points, handoffs, stakeholder roles, systems touchpoints, and information flows. Maps will be validated through iterative review with process owners and team leads. **Gap Analysis Framework:** Findings will be analyzed against a framework of operational best practices, scalability principles, and ClearPath's stated growth objectives. Gaps will be assessed on dimensions of process maturity, efficiency, consistency, and capacity to support projected headcount growth to 150–200 employees. **Triangulation:** All findings will be triangulated across observation, interview, and data sources to identify convergent patterns and distinguish systemic issues from isolated cases. This multi-source approach provides greater confidence in the validity of identified problems and recommendations. ### 3.3 Activities The Consultant will perform the following activities: - Conduct 15–20 structured and semi-structured interviews with key stakeholders across all functional areas - Observe current processes in situ across an estimated 8–12 observation sessions spanning all five operational areas - Collect, validate, and analyze operational data provided by the Client, including process documentation, performance metrics, and historical records - Map current-state processes for each operational area using standardized notation - Identify gaps, bottlenecks, inefficiencies, and improvement opportunities through systematic analysis - Develop a prioritized set of recommendations grounded in operational data and triangulated findings - Deliver a phased implementation roadmap with sequencing logic, resource planning, and success metrics ### 3.4 Items Explicitly Out of Scope - Software evaluation, selection, or procurement - Implementation of recommended changes (separate engagement if desired) - IT infrastructure assessment or security audit - HR policy review (except where directly related to onboarding) - Client-facing process changes (e.g., how ClearPath delivers to its own clients) ## 4. The Consultant will maintain a project log documenting all interviews conducted, observation sessions held, data requests made, and key findings as they emerge. ## 9. Confidentiality Both parties agree to treat all information exchanged during this engagement as confidential and proprietary. The Consultant will not disclose any Client data, operational processes, financial information, or findings to third parties without prior written consent from Thomas Reed. The Client agrees not to disclose the Consultant's proprietary methodologies, analytical frameworks, tools, or templates to third parties or use them outside the scope of this engagement without written permission from Meridian Labs LLC. **Data Handling and Retention:** The Consultant will maintain all Client data, interview notes, observation records, and supporting documentation on secure systems during the engagement and will delete or return all Client-provided materials and work product containing Client data within 30 days of engagement completion, unless the Client requests extended retention. Interview recordings (if made with participant consent) and supporting research materials will be retained by the Consultant for one calendar year following engagement completion to support potential follow-up work or clarification; thereafter, these materials will be destroyed. The Consultant will not retain copies of Client operational data beyond the completion date. **Anonymization and Learning:** Notwithstanding the confidentiality obligations above, the Consultant may use anonymized, non-attributable learnings, patterns, and generalizable insights from this engagement for internal training, methodology refinement, and professional development purposes, provided that no Client identity, specific metrics, or identifying operational details are disclosed. Any publications or case studies derived from this engagement require separate written permission from the Client. **Regulatory Exceptions:** The Consultant may disclose Client information as required by law, court order, or government request; the Consultant agrees to notify the Client of such requirement as promptly as legally permissible, to allow the Client to seek protective measures. ## 10. Intellectual Property All deliverables produced under this SOW, including process maps, reports, recommendations, roadmaps, presentations, and associated analyses, shall become the sole and exclusive property of the Client upon receipt of full payment as specified in Section 7.2. The Client shall have the perpetual right to use, modify, and distribute these deliverables without further obligation to the Consultant, except that the Client may not represent the Consultant's work as its own or remove attribution to the Consultant without written permission. The Consultant retains ownership of all pre-existing methodologies, analytical frameworks, interview protocols, templates, tools, software, and intellectual property developed prior to or independently of this engagement. These pre-existing materials are licensed to the Client solely for use in implementing the recommendations derived from this engagement; the Client does not acquire ownership or rights to sublicense such materials. **Deliverable Revision:** The Client has the right to request revisions to deliverables within 10 business days of receipt. The Consultant will incorporate Client feedback and provide a revised version within 5 business days of the revision request. Revisions requested after the 10-business-day review period may be subject to additional fees at the Consultant's standard day rates (€1,200/day for senior staff, €650/day for analyst staff). ## 11. Termination Either party may terminate this SOW with 15 business days' written notice to the other party. Termination requests must be submitted in writing to the other party's designated point of contact (Priya Anand for the Client, Marcus Webb for the Consultant) with a copy to the respective principals (Thomas Reed and Meridian Labs LLC leadership). In the event of termination, the Client shall pay the Consultant for all work completed to date, calculated as follows: (1) work products completed and delivered shall be paid in full; (2) work in progress shall be prorated based on the percentage of activity completed, as mutually assessed by the parties, at the applicable daily rates specified in Section 7.1; (3) expenses incurred and documented shall be reimbursed. Such payment shall be due within 15 days of the termination effective date. Termination does not excuse payment for work completed or excuse the Client's obligation to maintain confidentiality of the Consultant's proprietary methodologies and tools. Upon termination, the Consultant will return or destroy all Client materials and confidential information in accordance with the data handling procedures specified in Section 9 above. ## 12. Success Criteria & Acceptance ### 12.1 Validation of Deliverables Upon delivery of each major deliverable (D1–D6), the Client has a structured 10-business-day review period in which to evaluate the deliverable against the stated scope and accept it or request revisions. Acceptance is defined as the Client's written confirmation (via email) that the deliverable satisfies the requirements specified in Section 4 and meets the Client's reasonable expectations for quality and completeness. The absence of written objection within the 10-business-day period shall constitute acceptance. ### 12.2 Feedback and Revision Cycle The Client will provide written feedback on deliverables within the 10-business-day review period. Feedback should identify specific concerns, missing elements, or areas requiring clarification. The Consultant will review Client feedback and determine whether requested changes constitute revisions within scope (standard inclusions for which no additional fee is charged) or enhancement requests outside the original scope (which may be subject to additional fees). The Consultant will provide a revised version of the deliverable addressing in-scope feedback within 5 business days of receiving Client feedback. Revision requests received after the 10-business-day review period will be treated as change requests and may be subject to additional fees at the Consultant's standard day rates. ### 12.3 Executive Review and Sign-Off The final deliverables (D5 — Implementation Roadmap and D6 — Executive Summary Presentation) will be subject to review and approval by both Priya Anand and Thomas Reed prior to final acceptance. A formal sign-off meeting will be scheduled following the interim review (typically Week 11–12) to present findings, discuss implementation approaches, and confirm the Client's acceptance of the roadmap and recommendations. ### 12.4 Roadmap Acceptance and Implementation Authority Acceptance of the Implementation Roadmap (D5) and recommendations contained therein does not constitute a commitment by the Client to implement the recommended changes, nor does it obligate the Consultant to manage or oversee implementation activities. The roadmap is advisory and represents the Consultant's professional assessment of a logical sequencing and approach; the Client retains full discretion to modify, defer, or reject any recommendations based on evolving business priorities, resource availability, or strategic considerations that may emerge post-engagement. If the Client elects to engage the Consultant for implementation support, such work will be the subject of a separate statement of work with distinct terms, timeline, and fees. ## 13. Governing Law This SOW shall be governed by the laws of Italy. Any disputes arising under or related to this SOW shall be resolved through good-faith mediation in Florence before escalation to formal arbitration. The cost of mediation shall be shared equally by both parties. --- **Accepted and agreed:** For ClearPath Solutions Inc.: Name: Thomas Reed, CEO Date: _________________ For Meridian Labs LLC: Name: Marcus Webb, Engagement Lead Date: _________________
